Terms of Service

Effective Date: September 22, 2026

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) form a legally binding agreement between you (“Client,” “you,” or “your”) and Bella Lingua Learning Inc. (“Bella Lingua Learning Inc.,” “we,” “us,” or “our”) governing your access to and use of our Italian-learning services, including private one-on-one Italian lessons, small group Italian classes, online Italian tutoring, conversation practice sessions, business Italian training, Italian grammar and writing support, and Italian pronunciation and accent coaching (collectively, the “Services”).

By booking, purchasing, accessing, or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies referenced herein. If you do not agree, you must not use the Services.

If you are using the Services on behalf of a minor or another person, you represent that you have the legal authority to bind that person to these Terms and are responsible for all activity associated with the Services.

2. Scope of Services

Bella Lingua Learning Inc. provides language instruction and educational support services focused on Italian language learning. The Services may be delivered in person, online, or in a hybrid format, depending on the program selected and availability.

Our Services may include, without limitation:

  • Private one-on-one Italian lessons
  • Small group Italian classes
  • Online Italian tutoring
  • Conversation practice sessions
  • Business Italian training
  • Italian grammar and writing support
  • Italian pronunciation and accent coaching

We may, at our discretion, modify lesson structure, scheduling, instructors, materials, technology platforms, or delivery methods to improve service quality, address operational needs, or comply with legal or safety requirements.

The Services are educational in nature and do not constitute immigration advice, legal advice, professional certification, translation certification, or any guarantee of fluency, proficiency, test results, business outcomes, or employment opportunities.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, current, and complete information when booking or communicating with us;
  • Attend sessions on time and prepared, including having any required materials, devices, software, or internet access for online sessions;
  • Use the Services respectfully and lawfully, and not engage in harassment, abuse, discrimination, disruptive conduct, or any behavior that interferes with teaching or learning;
  • Comply with all reasonable instructions, classroom rules, technical requirements, and health/safety protocols;
  • Not record, reproduce, distribute, or publicly share any class, session, materials, or communication without our prior written consent where required by law or policy;
  • Maintain the confidentiality of any login credentials, access links, or course materials provided to you;
  • Notify us promptly of any issues affecting your ability to attend or participate in Services.

You are responsible for ensuring that any device, platform, or internet service you use is secure and compatible with our delivery methods. We are not responsible for delays, disruptions, or losses caused by your equipment, connectivity, or third-party service providers.

4. Payment Terms and Conditions

Fees for the Services will be communicated at the time of booking, through a written agreement, invoice, website posting, or other authorized communication from Bella Lingua Learning Inc. All fees are due in accordance with the payment schedule provided to you. Unless otherwise stated, payment must be made in advance of the applicable class, lesson, package, or term.

We may accept payment by methods specified by us from time to time. You are responsible for any fees charged by your financial institution, payment processor, or platform used to complete the transaction.

Prices may be subject to applicable taxes, including the Goods and Services Tax/Harmonized Sales Tax (GST/HST), as required under Canadian law. Any such taxes will be added where applicable.

Late payments, failed payments, chargebacks, or payment reversals may result in suspension or cancellation of Services, cancellation of scheduled sessions, and/or collection of outstanding amounts. You agree to reimburse us for reasonable costs incurred in collecting overdue amounts, to the extent permitted by law.

Unless otherwise agreed in writing, session packages and prepaid credits are personal to the Client, non-transferable, and must be used within the stated validity period, if any.

5. Cancellation and Refund Policy

We understand that schedules change. To ensure fairness to all Clients and instructors, the following cancellation and refund rules apply unless a separate written agreement states otherwise:

  • Individual lessons: Cancellations made with at least 24 hours’ notice may be rescheduled subject to availability. Cancellations made with less than 24 hours’ notice, or failure to attend a scheduled session, may be charged in full.
  • Group classes: Because group classes reserve a place in a fixed cohort, missed classes are generally non-refundable and non-creditable unless required by applicable law or expressly agreed otherwise in writing.
  • Online sessions: If a session cannot proceed due to technical issues caused by us, we will make reasonable efforts to reschedule or provide a make-up session. If the issue is caused by the Client’s equipment, internet connection, or software, the session may be considered delivered.
  • Package purchases: Unless otherwise stated, unused sessions in a prepaid package may be refundable only at our discretion and may be subject to deduction for any sessions already delivered at the regular single-session rate, administrative fees, or promotional discounts already applied.

Refunds, if approved, will be processed using the original payment method where practicable, within a reasonable time. Any refund rights under applicable consumer protection laws in Ontario and Canada remain unaffected where they cannot be waived.

We reserve the right to cancel, reschedule, or modify a session due to instructor illness, low enrollment, safety concerns, force majeure, or other legitimate operational reasons. In such case, our liability is limited to rescheduling or refunding the affected portion of the Services, at our discretion and as required by law.

6. Liability Limitations

To the fullest extent permitted by applicable law, Bella Lingua Learning Inc. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption arising out of or related to your use of the Services.

To the fullest extent permitted by law, our total aggregate liability for any claim arising from or relating to the Services shall not exceed the amount paid by you for the specific Service giving rise to the claim in the three (3) months preceding the event giving rise to liability, or the minimum amount required by law if such limitation is not enforceable.

We do not guarantee specific educational outcomes, examination results, language proficiency levels, or business performance results. You acknowledge that language learning outcomes depend on many factors beyond our control, including attendance, practice, aptitude, and engagement.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable Canadian law, including liability for gross negligence, wilful misconduct, fraud, or any other liability that cannot lawfully be limited.

7. Intellectual Property Rights

All lesson plans, worksheets, exercises, recordings, presentations, course structures, written materials, graphics, logos, trademarks, designs, and other content provided by Bella Lingua Learning Inc. are our property or licensed to us and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the materials solely for your own educational purposes during the term of the Services.

You may not copy, reproduce, modify, distribute, publish, display, sell, sublicense, create derivative works from, or otherwise exploit our materials except with our prior written consent or as permitted by law.

If you provide us with feedback, suggestions, testimonials, or improvements, you grant us a worldwide, royalty-free, perpetual, irrevocable, transferable license to use such input for our business purposes without compensation, unless otherwise prohibited by law.

8. Data Protection and Privacy

We collect, use, disclose, and safeguard personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, applicable provincial privacy legislation.

We may collect personal information such as your name, contact details, scheduling preferences, payment information, learning goals, attendance records, and communications with us for the purposes of providing Services, managing accounts, processing payments, improving our offerings, ensuring security, and complying with legal obligations.

We may use third-party service providers for scheduling, online learning, communications, hosting, and payment processing. Such providers may process your information on our behalf and are expected to protect it in accordance with applicable law and contractual obligations.

Where required by law or business necessity, we may disclose personal information to legal, regulatory, tax, payment, or law enforcement authorities, or in connection with a business transaction.

By using the Services, you consent to our handling of your information as described in these Terms and any separate privacy policy we maintain. If a separate privacy policy exists, it forms part of the overall terms governing your relationship with us.

You are responsible for ensuring that you do not share sensitive personal information unnecessarily during lessons or communications. Please contact us if you wish to inquire about your privacy rights, access, correction, or withdrawal of consent, subject to legal and contractual limitations.

9. Force Majeure

Bella Lingua Learning Inc. shall not be liable for any delay or failure to perform any obligation under these Terms to the extent caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, epidemic or pandemic, war, terrorism, labour disputes, utility failures, government actions, power outages, internet or telecommunications failures, natural disasters, or other similar events (“Force Majeure Event”).

During a Force Majeure Event, we may suspend, reschedule, modify, or cancel affected Services without liability except as otherwise required by law. Where practical, we will make reasonable efforts to resume Services or offer an alternative arrangement.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our Services, business practices, legal requirements, or other operational needs. The revised Terms will be effective upon posting or upon notice to you, as applicable.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services and, where relevant, cancel any future bookings in accordance with these Terms.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or matter arising out of or relating to them, the Services, or your use of the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree that the courts of the Province of Ontario, located in or nearest to Burlington, Ontario, shall have exclusive jurisdiction over any legal proceeding arising from or related to these Terms or the Services, subject to any mandatory consumer protection rights or remedies available under applicable law.
